UNIMETAL SURFACE FINISHING must be notified of all changes in contract (purchase orders), part numbers, processing and plating specifications, prior to receipt and processing of product. All gauges, tool and match samples must be received with product if required or specified.
Estimated delivery dates are based on our best judgment and every effort will be made to meet them, contingent upon causes beyond our control, unless otherwise agreed to in writing. UNIMETAL SURFACE FINISHING will not accept any liability for missed delivery dates. When acquisition or manufacturer of the goods by seller and delivery to buyer are subject to delays beyond the control of UNIMETAL SURFACE FINISHING, such delays will extend delivery dates for the goods.
All purchase orders accepted by us cannot be canceled except in writing and upon terms that will indemnify UNIMETAL SURFACE FINISHING against all losses, including internal management time.
All prices quoted are based on the quality, quantity, and type of material or equipment specified, where applicable. Changes in specifications or materials may cause price changes. All price quotations are subject to revision if the work in not completed within 6 months of the dated quote.
UNIMETAL SURFACE FINISHING must be notified immediately, via telephone, fax or email of any complaints of nonconforming product. The original purchase order number, part number, packing slip or invoice number, along with the quantity and weight of rejected product must be supplied at the time of complaint. UNIMETAL SURFACE FINISHING’S Quality Control Department will then issue a “ Returned Materials Authorization” number (RMA). This RMA number must be included on all boxes, containers, debit/purchase orders and correspondence sent to UNIMETAL SURFACE FINISHING. Returned goods will not be accepted at UNIMETAL SURFACE FINISHING’S receiving dock without an RMA number. Debits will not be accepted or credited without an RMA number issued prior to the return of rejected goods or the deduction of charges of payment. In no event shall UNIMETAL SURFACE FINISHING be responsible for any complaints of nonconformities received by UNIMETAL SURFACE FINISHING 60 days after delivery. The Customer shall allow UNIMETAL SURFACE FINISHING a reasonable opportunity to cure any nonconformity before UNIMETAL SURFACE FINISHING assumes any responsibility for work done by others or expenses incurred by customer.
As a precondition to accepting work in process, all work received at UNIMETAL SURFACE FINISHING will be subject to a 3% Loss Allowance Policy. Even with the best intentions, bulk-handling operations, in general, lend themselves to some loss product. Factors such as scale variations, samples needed for inspections, testing, thickness readings, manufacturing oil, visual and performance evaluations, etc. all contribute to count differences. Discrepancies over the 3% loss allowance must be made in writing within 60 days of receipt of order.
Unless otherwise stated, incoming shipments must be prepaid by customer. Outgoing goods will be shipped F.O.B. UNIMETAL SURFACE FINISHING’S plant with the carrier to be selected by UNIMETAL SURFACE FINISHING unless specified by customer. Partial shipments may be invoiced separately.
The customer has no right to any proprietary information of UNIMETAL SURFACE FINISHING, any tooling, or access to production facilities of UNIMETAL SURFACE FINISHING unless otherwise specified.
The laws of the State of Connecticut hereto, shall govern the validity, construction, and interpretation of the contact, and the rights and duties of the parties.
UNIMETAL SURFACE FINISHING may correct typographical or clerical errors in the prices, quantities or specifications contained in any of the documents.
No warranties, expressed or implied, are made or authorized by UNIMETAL SURFACE FINISHING except as set forth below:
UNIMETAL SURFACE FINISHING warrants to the customer that the work to be performed and materials to be furnished by UNIMETAL SURFACE FINISHING hereunder will conform to the specifications and statements set forth on the face hereof and will be free from processing defects for a period of 60 days from the date of delivery to the customer. Customer agrees that no claim will be asserted based on any oral or written representations, which are not contained on the face hereof.
Customers remedy and UNIMETAL SURFACE FINISHING’S liability under this warranty shall be limited solely to the reprocessing of parts and materials returned to UNIMETAL SURFACE FINISHING’S plant with transportation charges prepaid which, upon examination by UNIMETAL SURFACE FINISHING, are determined to UNIMETAL SURFACE FINISHING’S satisfaction to have been defectively processed. Said reprocessing is conditioned on the customer giving UNIMETAL SURFACE FINISHING notice that said goods are other than as warranted within 60 days of receipt. Failure by customer to give said notice shall constitute a waiver by customer of all claims with respect to said goods.
UNIMETAL SURFACE FINISHING’S liability hereunder for reprocessing shall not apply to any goods which have been subject to misuse, negligence or accident or which have been altered in any way so as to affect the performance and reliability of the original process.
UNIMETAL SURFACE FINISHING shall not be liable for any incidental or consequential damages including death, personal injuries, property damage, or lost profit arising out of defective materials and/or workmanship.
UNIMETAL SURFACE FINISHING MAKES NO WARRANTIES OF MERCHANTABILITY WITH RESPECT TO ANY WORK PERFORMED OR MATERIALS SUPPLIED HEREUNDER AND THE CUSTOMER AGREES THAT THERE ARE NO WARRANTS THAT SUCH WORK AND/OR MATERIALS ARE FIT FOR ANY PARTICULAR PURPOSE.
These terms and conditions apply to any and all purchase orders submitted by the customer and accepted by UniMetal Surface Finishing. These terms and conditions shall not be varied, modified, or waived unless an officer of UNIMETAL SURFACE FINISHING agrees to such in writing.
